POSITION SUMMARY

As Umoja continues to expand and contemplate an initial public offering (IPO), we are seeking a highly skilled Corporate Counsel - Securities and Compliance to join our legal team. This person will play a key role in our journey towards becoming a publicly traded company. Reporting to the Chief Legal Officer, the Corporate Counsel will be responsible for overseeing and managing all aspects of securities filings and compliance to ensure adherence to regulatory requirements.


CORE ACCOUNTABILITIES

Specific Responsibilities include:

  • Prepare and review all securities filings, including but not limited to annual, quarterly, and ad-hoc reports, in compliance with SEC regulations and stock exchange rules.
  • Work closely with internal stakeholders, including finance, accounting, and investor relations teams, to gather necessary information and ensure accurate and timely disclosure of material information.
  • Collaborate with external legal counsel, auditors, and other advisors to facilitate the IPO process and ensure compliance with legal and regulatory requirements.
  • Monitor changes in securities laws, regulations, and stock exchange rules, and advise senior management on potential impact and necessary actions.
  • Develop and implement policies, procedures, and internal controls related to securities filings and compliance to mitigate risk and ensure best practices.
  • Assist in the preparation of board and committee materials related to securities matters and corporate governance.
  • Provide legal guidance and support on other corporate matters as needed, including mergers and acquisitions, corporate governance, and contractual agreements.

The successful candidate will have:

  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the bar of at least one state.
  • Minimum of 10 years of experience practicing law, with a focus on securities and corporate governance matters, preferably in the biotechnology or pharmaceutical industry.
  • Extensive knowledge of SEC regulations, stock exchange rules, and corporate governance principles.
  • Proven experience in preparing and reviewing securities filings, including registration statements, periodic reports, and proxy statements.
  • Strong analytical skills and attention to detail, with the ability to interpret complex legal and regulatory requirements and apply them to business operations.

Preferred Qualifications:

  • Excellent communication and interpersonal skills, with the ability to effectively collaborate with cross-functional teams and communicate complex legal concepts to non-legal stakeholders.
  • Ability to thrive in a fast-paced, dynamic environment and manage multiple priorities effectively.

Physical Requirements

  • Ability to sit for prolonged periods of time
  • Ability to work in our Seattle office 2 days a week
  • Ability to travel as needed

Salary Range: $202,000 - $249,500
